1. Introduction
Welcome to Xofu LLC ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern access to and use of the SaaS product, services, applications, and website (collectively, the "Service").
By accessing or using the Service, the user agrees to be bound by these Terms. If the user does not agree, the Service should not be used.
2. Eligibility
Use of the Service is permitted only by individuals at least 18 years of age who are capable of entering into a legally binding agreement. By using the Service, the user represents and warrants compliance with this requirement.
3. Account Registration
An account may be required to access certain features of the Service. The user agrees to provide accurate, complete information and to update such information as needed. The user is responsible for maintaining the confidentiality of any account credentials.
4. Use of the Service
The Service may be used only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:
- Copying, modifying, or creating derivative works of the Service
- Reverse engineering or attempting to extract source code
- Transmitting viruses, spam, or malicious content through the Service
- Interfering with the operation of the Service or access by others
5. Support Availability
Support is provided through a shared inbox and is typically monitored during standard business hours (Monday-Friday, 9am-5pm EST). While Xofu LLC strives to respond in a timely manner, no guaranteed response time is provided at this time.
6. Subscription and Payment
Access to certain features requires a paid subscription. Pricing and payment terms are specified at the time of purchase.
Subscription Options:
Subscriptions may be purchased on a monthly or annual basis. The applicable billing amount and cycle are defined at the time of registration.
Refund Policy:
A 7-day refund window is provided following the initial purchase and each monthly renewal. For annual subscriptions, a full refund may be requested within 7 days of the initial annual payment. Refunds outside this window are not guaranteed.
Grace Period for Late Payments:
- Monthly Subscriptions: A 7-day grace period will be granted if payment fails or is not received by the due date. After the grace period, access to Service updates may be suspended.
- Annual Subscriptions: A 30-day grace period is granted. Reasonable efforts will be made to contact the customer before limiting access.
Suspension of Access and Content:
If payment remains outstanding after the applicable grace period, Xofu LLC reserves the right to suspend access to the Service and restrict access to all associated data and content until the account is brought current.
All fees are otherwise non-refundable unless explicitly stated.
7. Intellectual Property
All content, features, and intellectual property associated with the Service are owned by or licensed to Xofu LLC. Access to the Service does not convey any ownership rights or licenses beyond those explicitly granted.
8. Termination
Access to the Service may be suspended or terminated at any time, with or without notice, if a violation of these Terms occurs or if otherwise deemed necessary by Xofu LLC.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind. Xofu LLC disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Xofu LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use.
11. Indemnification
The user agrees to indemnify and hold harmless Xofu LLC from any claims, liabilities, losses, or expenses resulting from use of the Service or violation of these Terms.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Commonwealth of Kentucky. Any disputes shall be resolved exclusively in the courts located in Louisville, Kentucky.
13. International Users
Users accessing the Service from outside the United States are responsible for compliance with local laws. Personal data will be handled in accordance with the Privacy Policy.
14. Changes to Terms
These Terms may be modified from time to time. Updated Terms will be posted, and continued use of the Service constitutes acceptance of any changes.
